Quyền yêu cầu công ty mua lại phần vốn góp của thành viên công ty TNHH hai thành viên trở lên theo Luật Doanh nghiệp năm 2020

Tóm tắt: Đối với công ty trách nhiệm hữu hạn hai thành viên trở lên, quyền yêu cầu công ty mua lại phần vốn góp được xem là một cách thức giúp thành viên rút vốn khỏi công ty, bảo vệ lợi ích của mình trước các quyết định bất lợi từ công ty. Trong phạm vi bài viết này, tác giả trình bày, phân tích quy định của Luật Doanh nghiệp năm 2020 về quyền yêu cầu công ty mua lại phần vốn góp, chỉ ra một số bất cập và đề xuất kiến nghị hoàn thiện quy định này.

Abstract: For a limited liability company with two or more members, the right to request the company to acquire the contributed capital is considered as a measure to help the members withdraw their capital from the company, to protect their interests against the disadvantageous decisions by the company. In the scope of this article, the author provides discussions and analysis of the provisions of the Enterprise Law of 2020 on the right to request the company to acquire the contributed capital, and also points out some shortcomings and proposes recommendations for further improvements of these regulations.
